Terms of Service

1  Scope & Agreement

These Terms of Service ("Terms") are a legal agreement between Syro ("Syro", "we", "us") and you, the individual or entity that accesses or uses the Syro website builder, digital-commerce tools, course-hosting, membership, marketplace, and related services (collectively, the "Service"). The Service enables you to create websites, sell digital products, host courses and communities, monetise memberships, connect a custom domain, and integrate with third-party providers such as Stripe and Google.

By clicking "I agree," creating an account, or otherwise accessing the Service, you accept these Terms and our Privacy Policy. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation. If you do not agree, you must not use the Service.

2  Eligibility

You must be at least 18 years old (or the age of majority where you live) and have the legal capacity to enter a contract. If you are under 18 or do not have authority to bind an entity, you may not use the Service.

3  Accounts & Security

You must provide accurate information when creating an account and keep that information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Notify us immediately of any unauthorised use. We may suspend or terminate your account for violations of these Terms or if necessary to protect the Service or other users.

4  The Service

Syro is an all-in-one creator platform that provides:

  • Website and landing-page builder (including hosting and optional custom domain mapping).
  • Digital product, template, and file delivery system.
  • Course hosting with video streaming and progress tracking.
  • Community and discussion features.
  • Membership tiers and recurring subscriptions.
  • Checkout, cart, and affiliate tools integrated with payment processors (currently Stripe).
  • Marketplace networking between creators.
  • Generative-AI and beta experimental features.

We may add, remove, or modify functionality at our sole discretion. Some features may be labelled "Beta" or "Experimental" and are subject to Section 9 (Beta Services).

5  Plans, Fees, Taxes & Payment Processing

Certain features require payment of subscription or usage-based fees ("Fees"). The current pricing and plan descriptions are described on our pricing page and are incorporated by reference. Unless stated otherwise, Fees are billed in advance, non-refundable, and exclusive of taxes.

Payments are processed by third-party providers such as Stripe. By linking a payment method or connecting a Stripe account you agree to the Stripe Services Agreement and authorise us to share necessary data with the payment processor. We are not responsible for the performance, security, or acts of any payment processor.

You are solely responsible for collecting, reporting, and remitting any taxes, duties, or governmental assessments associated with your sales through the Service.

6  User Content & Licence

"User Content" means any content uploaded, posted or otherwise made available through the Service, including text, images, video, code, and products you sell. You retain ownership of your User Content. You grant Syro a worldwide, non-exclusive, royalty-free, sublicensable licence to host, store, reproduce, process, adapt, publicly display, and distribute your User Content for the purpose of operating, improving, and marketing the Service. You represent that you have all rights necessary to grant this licence and that your User Content does not infringe any third-party rights or laws.

Except for User Content, all software, designs, logos, and other materials forming the Service are the property of Syro or its licensors and are protected by intellectual-property laws. Syro grants you a limited, revocable, non-transferable licence to use the Service in accordance with these Terms.

7  Commerce Responsibilities

When you sell products, courses, or memberships using the Service, the contract of sale is between you and your buyer. Syro is not a party to that transaction. You are solely responsible for:

  • Setting prices, descriptions, and fulfilment of your products or services.
  • Ensuring your offerings and marketing comply with applicable consumer-protection, e-commerce, and tax laws.
  • Handling refunds, chargebacks, customer inquiries, and disputes.

You agree to indemnify Syro for any claims arising from your sales activities.

8  Acceptable-Use & Prohibited Conduct

  • Comply with all applicable laws and regulations.
  • No illegal, harmful, hateful, or infringing content.
  • Do not upload malware, conduct phishing, or circumvent security features.
  • No scraping, reverse-engineering, or building a competing product with our IP.
  • No interference with or excessive burden on the Service or networks.
  • Do not misrepresent your affiliation with Syro or other users.

9  Beta & Experimental Features

Features labelled "Beta," "Preview," or "Experimental" (collectively, "Beta Services") are provided solely for testing and feedback. Beta Services may be modified, suspended, or discontinued at any time without notice.

No warranties apply to Beta Services. Use them at your own risk. Syro will not be liable for any loss, damage, or costs arising from Beta Services.

You agree to provide feedback on Beta Services and acknowledge that support may be limited.

10  Third-Party Services & Links

The Service integrates with third-party services (for example, Stripe payments, Google authentication, domain registrars, analytics). Your use of any third-party service is governed by that provider's terms. Syro is not responsible or liable for third-party services.

If you connect your account to a third-party service, you authorise us to share the data necessary to enable the integration.

11  Privacy & Data

Syro processes personal data as described in our Privacy Policy. By using the Service, you consent to those practices. If you collect your customers' personal data through the Service, you are the data controller and must comply with all applicable data-protection laws.

12  Feedback

Any suggestions or ideas you submit may be used by Syro without restriction or compensation.

13  DMCA Notice

Syro responds to valid Digital Millennium Copyright Act (DMCA) notices delivered to our contact page and may remove infringing content or terminate repeat infringers.

14  Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Syro does not warrant that the Service will be uninterrupted, error-free, or secure.

15  Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYRO SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. SYRO'S TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) US$100 OR (B) THE FEES PAID BY YOU TO SYRO IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

16  Indemnification

You will indemnify and hold harmless Syro and its officers, directors, and employees from any claims, damages, or expenses (including reasonable legal fees) arising from your User Content, your sales, or your breach of these Terms.

17  Suspension & Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you violated these Terms, pose a risk, or for operational reasons. Upon termination, your right to use the Service ceases immediately. Sections that by nature should survive will survive (including payment obligations, IP, disclaimers, limitations of liability, and indemnities).

18  Changes

We may modify the Service or these Terms. If we make material changes, we will provide notice (e.g. email or in-product banner) at least 30 days before they take effect. Continued use after the effective date constitutes acceptance of the revised Terms.

19  Governing Law

These Terms are governed by the laws of the State of Delaware, U.S.A., without regard to conflict-of-law principles.

20  Dispute Resolution — Arbitration & Class-Action Waiver

Any dispute arising out of these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Rules in Wilmington, Delaware. Class or collective actions are waived. You may opt out of arbitration within 30 days of first agreeing to these Terms by contacting us through our contact page.

21  Export & Sanctions Compliance

You must comply with U.S. and foreign export laws and sanctions. You may not use the Service if you are on a prohibited-party list or are located in an embargoed country.

22  Force Majeure

Syro is not liable for any failure or delay due to causes beyond its reasonable control (including natural disasters, internet outages, labour disputes, or government actions).

23  Assignment

Syro may assign these Terms without restriction. You may not assign or transfer your rights without Syro's prior written consent.

24  Entire Agreement; Severability; Waiver

These Terms constitute the entire agreement between you and Syro regarding the Service. If any provision is unenforceable, the remainder will remain in effect. Failure to enforce any right is not a waiver.
